Need to upgrade a server running WS Std 2003 32bit and SQL std 32bit to WS std 2008 R2 64bit and SQL std 2008 64bit

I have already found that to do it I will be best to perform a full clean install.

1. Is there an upgrade option or do we lose all the money we paid for SQL 2003 licenses

2. Our server has 2 Xeon quad core processors so I have been told 4 different things about the licensing for the SQL users by different sales people. I need to know exactly what we need to purchase. I was looking into SQL standard R2 2008 unlimited but keep seeing the 1 processor version. A sales person said that was referring to the server as a whole but when I read the Microsoft white paper it appears to mean the physical processors on the MB.

Please give this simple old country boy some clarity as to exactly what the heck I need and what it will cost us just to upgrade our existing system.
